Business restructuring in multi-site HORECA retail: operational levers and advisor incentive structures
In multi-site HORECA groups, margin deterioration rarely has a single cause: revenue mix, labour cost, rent incidence and management dispersion compound each other. The paper proposes a two-phase restructuring path — rapid diagnosis and implementation — and discusses fee structures aligning advisor and ownership, including success fees on measurable results.
Post-pandemic Italian HORECA retail lives with structural margin compression: labour and raw material costs growing faster than achievable prices, rents renegotiated upwards in prime locations, more volatile demand. In multi-site groups the problem is compounded by dispersion: each outlet develops its own practices and consolidated management reporting often arrives late and aggregated.
The path we propose has two phases. The first is a rapid per-outlet diagnosis — P&L rebuilt at single-unit level, internal and external benchmarks on food cost, labour cost and average ticket — producing a priority map within 6-8 weeks. The second is implementation: renegotiation of key contracts, mix and pricing review, standardisation of purchasing processes, and rationalisation of the perimeter where needed.
On the engagement model: the healthiest structure combines a contained fixed fee for the diagnostic phase with a success component measured on verifiable indicators (incremental EBITDA, documented reduction of recurring costs), with an exclusivity perimeter and tail clause protecting both parties. Incentive alignment is part of the solution, not a negotiating detail.
